Version 2.2 — Effective October 30, 2026
The short version. This summary is a plain-English guide to these Terms. The full Terms below control.
What DealStack is. A directory of private real estate and alternative investment deals. Finding and researching deals on DealStack is free for investors.
What we do not do. We publish information. We do not sell securities, we never touch your money, and we never recommend a deal. If you invest, you do it directly with the firm, on that firm's own offering documents (§5.2). Every investment decision is yours.
What you see can be wrong. Information about a deal comes from the firm, from public records, and from our own automated reading of documents, which makes mistakes (§6). We do not check the numbers a firm gives us (§5.3). It can be incomplete or out of date, and the offering documents govern. Private investments are risky, hard to sell, and can lose everything.
Firms can pay to be shown more prominently. A paying firm's deal may be shown ahead of others (§1.5). Paying never changes any figure, comparison, or historical record we show.
Your plan is a filter you control. We compare deals with the plan you write, so you can sort and filter them. A close match does not mean a deal is right for you.
Engaging with a firm shares your details. When you move a deal to "Due diligence", "Talking to the firm" or "Finalist", book a call with a firm or ask it to contact you, register for or ask to be notified about its webinar, or tell us you already have a relationship with it, we send that firm your name, email address, and phone number (§10). That is the trade for using DealStack. If you do none of those things, and do not otherwise ask us to, no firm gets your contact information from us.
Disputes. Florida law applies. You first write to us and give us 60 days to resolve a dispute (§18.1). After that, it goes to individual arbitration in Miami-Dade County, Florida, unless you opt out of arbitration within 30 days of first accepting these Terms (§18.5). Class actions are waived (§18.6), claims must be filed within one year (§18.10), and our liability to you is limited (§16). Nothing in these Terms waives your rights under the securities laws (§21.9).
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Member") and Grow Your Cashflow LLC, a Florida limited liability company doing business as DealStack ("DealStack," "we," "us," or "our").
By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
1.1 DealStack operates an online software platform at trydealstack.com (the "Platform") on which sponsor firms ("Firms") publish information about real estate and alternative investment opportunities ("Listings"), and on which we publish factual information about real estate assets and their ownership history (the "Asset History Database").
1.2 DealStack publishes information. DealStack does not sell, offer, or place securities. DealStack is not a broker, dealer, broker-dealer, investment adviser, registered investment company, funding portal, exchange, alternative trading system, or fiduciary, and does not act as agent for any Firm, issuer, or Member.
1.3 DealStack does not: make investment recommendations; provide investment, legal, accounting, or tax advice; perform suitability or appropriateness determinations; endorse any Firm, Listing, or offering; negotiate terms; solicit or accept subscriptions; take custody of or handle investor funds or securities; or receive compensation that is based on, contingent on, or calculated by reference to whether or how much capital any Firm raises.
1.4 DealStack does not sell or recommend any security. Any decision to invest is made by you, directly with the Firm or issuer, outside the Platform, and on the basis of that offering's own Offering Documents.
1.5 The order, ranking, grouping, or prominence of Listings is not a recommendation, endorsement, or opinion about merit or suitability. Firms may pay DealStack for placement, visibility, or promotion, and a paying Firm's Listing may be shown ahead of, or more prominently than, other Listings. Paid placement never changes what we say about a Listing, and never affects any figure, comparison, or historical record displayed on the Platform.
2.1 Nothing on the Platform is an offer to sell, or a solicitation of an offer to buy, any security. Listings are informational summaries. Securities are offered, if at all, only by the issuer, only to eligible investors, and only through that offering's Offering Documents.
2.2 No information on the Platform has been reviewed, approved, or passed upon by the Securities and Exchange Commission, FINRA, or any state securities regulator, and no such authority has confirmed the accuracy or adequacy of any Listing.
2.3 Private investments are speculative, illiquid, and involve a risk of total loss of capital. Past performance does not predict future results.
3.1 You must be at least 18 years old and able to form a binding contract.
3.2 The Platform is open to all investors, not only accredited investors. Anyone who meets §3.1 may create an account and use the Platform to learn about offerings. Listings for offerings that may be advertised to the public, such as offerings under Regulation A or Rule 506(c) of Regulation D, may be shown publicly, including to visitors who have no account.
3.3 Who may invest in an offering is set by that offering, not by DealStack. Some offerings accept only accredited investors, as defined in Rule 501(a) of Regulation D. Others also accept investors who are not accredited. Each offering's Offering Documents say who may invest. Being able to view a Listing does not mean you are eligible to invest in that offering.
3.4 Your investor status is your own statement. If you tell us whether you are an accredited investor, you agree to answer truthfully and to update your answer if it changes. DealStack does not verify your answer, and your answer is not verification of accredited-investor status for any purpose.
3.5 Where an offering is limited to accredited investors, or requires that accredited-investor status be verified — including any offering conducted under Rule 506(c) — deciding whether you qualify and performing any verification is done by or for the Firm or issuer, not by DealStack, and DealStack's records are not a substitute for it.
4.1 You must provide accurate information and keep it current. You are responsible for the security of your credentials and for activity under your account.
4.2 You may not share, sell, or transfer your account, or use another Member's account.
5.1 A Listing is a convenience summary, prepared to help you decide whether to request the offering materials. It is not the offering, and it is not complete.
5.2 The Offering Documents govern. Where any information displayed on the Platform differs from, conflicts with, or is not contained in the offering documents for that offering — including the private placement memorandum, subscription agreement, operating or partnership agreement, and any supplement or amendment (together, the "Offering Documents") — the Offering Documents control in all respects. You make your investment decision on the Offering Documents you sign, not on the Platform. The Platform is a research tool that helps you get there: before you invest, you agree to do your own diligence on the Offering Documents, with your own advisers.
5.3 Listing information originates with the Firm or from public records. DealStack does not independently verify, audit, or confirm information provided by Firms, and does not undertake any duty to detect errors, omissions, or inconsistencies in it.
5.4 DealStack may, at its sole discretion and without obligation, correct, annotate, flag, suppress, or remove information. Any correction we choose to make creates no duty to make any other correction, and no course of dealing arises from it.
5.5 Where sources for the same fact conflict, DealStack may flag, withhold, or suppress that fact, and it may remain flagged, withheld, or suppressed until the Firm resolves the conflict. Absence of a flag is not a representation that a fact is accurate or that sources agree.
6.1 Much of the information displayed on the Platform is derived by automated systems, including artificial-intelligence models, that read documents supplied by Firms and public sources and extract values from them. Automated extraction can be incomplete, out of date, or wrong. It can misread a figure, attach a value to the wrong entity or period, miss a qualification or footnote, or omit context that changes the meaning of a number.
6.2 Where the Platform shows the source of a displayed value, that indicates where the value was extracted from. It is not a representation that the value was extracted correctly, or that the source document is itself accurate.
6.3 You must verify every figure that matters to you against the Offering Documents. Any extracted value is superseded by the Offering Documents under §5.2.
6.4 Errors happen. DealStack exists to bring transparency to private investments. We gather information from many sources (the Firm's own materials, public filings, and public records) and show you as much of it, as completely, as we can, and we ask Firms to review and confirm the information they put forward. But the Platform is software built and run by people. A bug, outage, caching delay, or data-processing error can cause the Platform to show information that is out of date, incomplete, attached to the wrong offering or period, or wrong, for a time before it is noticed and corrected. You accept that this can happen.
6.5 We work to correct errors we learn about, and you can report one at any time to pascal@trydealstack.com. We do not promise to find every error, or to correct any error within a particular time. A display error, or the time it takes to correct one, does not give rise to any claim against DealStack, except to the extent it was caused by DealStack's gross negligence or willful misconduct.
7.1 "Projection" means any forward-looking statement about a future outcome — targeted or projected return, IRR, equity multiple, preferred return, hold period, distribution, occupancy, rent growth, exit value, or similar. "Realized Result" means a reported actual outcome for a period that has ended.
7.2 Every Projection on the Platform is the statement of the Firm or issuer that made it, as of the date it was made, and is not adopted, verified, endorsed, or updated by DealStack. A Projection reflects that Firm's assumptions at that time. Assumptions are not facts, actual results routinely differ materially, and no Projection is a guarantee, promise, or commitment by anyone.
7.3 A Projection displayed on the Platform speaks as of the date it was made and is not updated. It does not speak as of today, and neither DealStack nor any Firm undertakes to revise it as circumstances change.
7.4 Where DealStack displays a Projection alongside a Realized Result, that comparison is a factual, arithmetic juxtaposition of two dated statements. It is not a rating, score, opinion, recommendation, or prediction by DealStack about the Firm, and it does not indicate how that Firm or any other investment will perform in the future. A Firm that met or missed a past Projection may do either again.
7.5 Realized Results are as reported by the Firm or drawn from public records, are not audited or verified by DealStack, and may be unaudited, preliminary, restated later, or presented on a different basis than the Projection they appear beside.
7.6 Neither DealStack nor any Firm receives the protection of the safe harbor for forward-looking statements in Section 27A of the Securities Act or Section 21E of the Exchange Act with respect to statements on the Platform.
8.1 DealStack compiles and publishes factual information about real estate assets — including ownership history, transaction history, physical and locational attributes, and the identity of firms associated with an asset over time — from public records and other public sources, and from Firms' own materials.
8.2 Public records, and offerings. DealStack may show facts about a firm that come from public sources, such as SEC filings, property and court records, and the firm's own public website, including in the Asset History Database, whether or not that firm has any agreement with DealStack. Where a firm has no agreement with us, those facts were compiled by DealStack and have not been confirmed by that firm. A firm's own deal or offering is different: we publish a new deal or offering only after its firm has signed our listing agreement. Some deal pages published before that rule belong to firms that have not signed it. We are bringing those pages into line, and until we do, what they show has not been confirmed by that firm.
8.3 Any firm, whether or not it has an agreement with us, may request a correction by writing to pascal@trydealstack.com. Copyright owners may submit a notice under §14.
9.1 Nothing on the Platform is investment, legal, accounting, or tax advice.
9.2 You should consult your own investment, legal, accounting, and tax advisers before making any investment decision. Every investment decision you make is yours alone.
9.3 No content, tool, filter, plan, score, comparison, alert, or communication from DealStack is a recommendation to buy, sell, or hold any security, or a determination that any investment is suitable for you.
10.1 When you take an affirmative action that requests contact with a Firm — moving a deal to the "Due diligence", "Talking to the firm" or "Finalist" stage in your pipeline, booking a call with a Firm or asking a Firm to contact you, registering for a Firm's webinar, asking to be notified about a Firm's webinar, or telling us that you have an existing relationship with a Firm — you direct DealStack to transmit your contact information (including your name, email address, and phone number) to that Firm so that it may contact you or respond to your request.
10.2 You control this. You are never required to request contact with any Firm, and DealStack does not transmit your contact information to a Firm unless you take one of those actions or otherwise ask us to.
10.3 Once transmitted, the Firm's use of your information is governed by that Firm's privacy practices, not ours. DealStack is not responsible for a Firm's handling of your information, and DealStack receives no compensation contingent on whether you invest.
You will not: provide false or misleading information; misrepresent your identity, accreditation status, or authority; use the Platform for any unlawful purpose; attempt to circumvent security or access controls; scrape, crawl, harvest, or bulk-download Platform content, or use automated means to access the Platform without our prior written consent; reverse engineer the Platform; resell, republish, or redistribute Platform content; use Platform content to build a competing product or dataset; or use the Platform to solicit any Member for any offering.
12.1 The Platform, its software, design, and content are owned by DealStack or its licensors.
12.2 DealStack owns the compilation. Individual facts may not be owned by anyone, but DealStack's selection, arrangement, normalization, and presentation of facts — including the Asset History Database, comparison views, and derived datasets — are DealStack's property and are protected as a compilation. Nothing in these Terms grants you any right in that compilation.
12.3 Content you submit remains yours. You grant DealStack a non-exclusive, worldwide, royalty-free license to host, store, display, and use it to operate and improve the Platform.
12.4 We grant you a limited, revocable, non-transferable license to use the Platform for your own investment evaluation. All other rights are reserved.
13.1 The Platform displays information originating with Firms, public records, and third-party data providers, and integrates third-party services. DealStack does not control and is not responsible for that content or those services.
13.2 Links or references to third-party sites or offerings are not endorsements.
14.1 DealStack responds to notices of alleged copyright infringement. If you believe material on the Platform infringes a copyright you own or control, send a notice to pascal@trydealstack.com, or by mail to Grow Your Cashflow LLC d/b/a DealStack, Attn: Legal, 2900 NE 2nd Ave, Apt 861, Miami, FL 33137.
14.2 A notice should include the elements listed in 17 U.S.C. §512(c)(3): your physical or electronic signature; the copyrighted work you say is infringed; the material you say infringes it and where it appears on the Platform; your contact information; a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or the law; and a statement that the notice is accurate and, under penalty of perjury, that you are the owner or are authorized to act for the owner.
14.3 We will remove or disable access to material as required, notify the person who supplied it where applicable, and consider counter-notices. We terminate repeat infringers in appropriate circumstances.
15.1 The Platform and all content are provided "as is" and "as available," without warranty of any kind.
15.2 To the maximum extent permitted by law, DealStack disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to the accuracy, completeness, currency, or reliability of any information on the Platform.
15.3 DealStack does not warrant that the Platform will be uninterrupted or error-free, or that any Firm, Listing, or offering is legitimate, authorized, accurately described, or suitable for you.
16.1 To the maximum extent permitted by law, DealStack will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost investment returns, lost opportunity, or loss of capital, arising out of or relating to the Platform or these Terms, even if advised of the possibility.
16.2 DealStack's total aggregate liability for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total amount you paid DealStack in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
16.3 DealStack is not liable for any investment loss. Your decision to invest is made outside the Platform, with a Firm or issuer that is not DealStack, on the basis of Offering Documents that govern under §5.2.
16.4 These limits apply regardless of the theory of liability and survive termination. They do not exclude liability that cannot be excluded under applicable law.
You will indemnify and hold harmless DealStack, its members, officers, employees, and agents from claims, damages, losses, liabilities, and reasonable expenses (including attorneys' fees) arising from your use of the Platform, your breach of these Terms, your violation of law, or any investment decision you make.
18.1 Informal resolution first. Before starting arbitration, you agree to send a written description of the dispute to pascal@trydealstack.com and to allow 60 days to resolve it informally. This is a condition precedent to arbitration.
18.2 Binding arbitration. Any dispute not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before one arbitrator, seated in Miami-Dade County, Florida. Judgment on the award may be entered in any court of competent jurisdiction.
18.3 Small-claims carve-out. Either party may bring an individual claim in small-claims court instead, if it qualifies.
18.4 Injunctive relief carve-out. Either party may seek temporary or preliminary injunctive relief in the state or federal courts in Miami-Dade County, Florida to protect intellectual property or confidential information.
18.5 Your right to opt out. You may opt out of §18.2 by emailing pascal@trydealstack.com within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out affects nothing else in these Terms.
18.6 No class actions. Disputes will be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. If this §18.6 is held unenforceable as to any claim, that claim is severed and heard in court, and the rest of §18 continues to apply to all other claims.
18.7 Coordinated filings. If 25 or more similar demands are filed by or with coordinated counsel, they will be batched in groups of no more than 50 for administrative and fee purposes, with a bellwether process, and applicable limitation periods are tolled for unbatched claims.
18.8 Delegation. The arbitrator decides all questions of arbitrability and of the interpretation, applicability, enforceability, and formation of this §18, except that a challenge to §18.6 is for a court.
18.9 Governing law. Florida law governs these Terms and any dispute, without regard to conflict-of-law rules.
18.10 Time limit. Any claim or cause of action arising out of or relating to the Platform or these Terms must be filed within one (1) year after it arose, or it is permanently barred. This §18.10 does not shorten any period that cannot be varied by agreement under applicable law, and is subject to §21.9.
19.1 We may modify these Terms. Material changes take effect prospectively, will be notified by email or in the Platform at least 10 days before taking effect, and require your acceptance before you continue using the Platform.
19.2 Changes do not retroactively alter the terms that applied to your past use.
19.3 The current version and its effective date always appear at the top of this page, and we keep a record of when you accepted these Terms.
20.1 We may suspend or terminate your account for breach of these Terms or where required by law.
20.2 You may delete your account at any time in Settings. Deletion is permanent; signing up again with the same email address creates a new, empty account.
20.3 Deleting your account ends your access. It does not erase every record: we retain your acceptance of these Terms, records of investments you tracked, tax documents, and your unsubscribe record — either because we are required to or because deleting them would harm you. Everything retained is disconnected from your sign-in and can no longer be reached by you.
21.1 Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in effect.
21.2 No waiver. Failure to enforce a provision is not a waiver of it.
21.3 Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
21.4 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and DealStack about the Platform and supersede prior understandings.
21.5 Survival. Sections 2, 5, 6, 7, 9, 12, 15, 16, 17, 18, and 21 survive termination.
21.6 Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.
21.7 Notices. Notices to you may be sent to your account email. Notices to us go to: Grow Your Cashflow LLC, Attn: Legal, 2900 NE 2nd Ave, Apt 861, Miami, FL 33137, and pascal@trydealstack.com.
21.8 Relationship. Nothing creates a partnership, joint venture, agency, or fiduciary relationship between you and DealStack.
21.9 Securities-law savings clause. Nothing in these Terms is, or will be deemed to be, a waiver of compliance with any provision of the federal or state securities laws, and DealStack will not assert that there has been such a waiver, where that waiver would not be permissible under Section 14 of the Securities Act of 1933, as amended, Section 29(a) of the Securities Exchange Act of 1934, as amended, or any other applicable provision of federal or state securities law. To the extent any provision of these Terms — including the disclaimers in §15, the limitations in §16, the indemnity in §17, the time limit in §18.10, and §5.2 — would otherwise be void or unenforceable as such a waiver, that provision applies only to the maximum extent permitted by law and the remainder of these Terms stays in effect.
